Terms of service and sale

Purpose and definitions

• Service: the Mento platform, available at mentogrow.com and app.mentogrow.com. It lets creators build an online store and sell digital products, courses, coaching sessions and memberships.
• Creator: the person who opens a Mento account.
• Buyer: the person who buys a product in a creator's store.

Description of the service

The Service lets the creator:

• publish a store and sales pages;
• sell and deliver their products, and collect payments through Stripe;
• write sales pages, emails, offer ideas and social posts with the help of artificial intelligence, and create cover images;
• send emails to their customers and follow their sales statistics;
• connect third-party services, such as Google Calendar for coaching sessions or Discord for communities.

Mento may change the features of the Service.

Account

• Sign-up is reserved for adults (18 or older) with full legal capacity.
• The creator provides accurate information and keeps it up to date.
• They keep their login details confidential and are responsible for the use of their account. They report any unauthorized use to support@mentogrow.com without delay.
• The creator sells under their own responsibility. If they run a business, they complete the related formalities themselves (registration, tax and social security filings).

Plans and prices

The Service is offered in three plans:

• Essai: free. 5% commission on each sale.
• Starter: €15 per month or €150 per year. 2% commission on each sale.
• Pro: €39 per month or €390 per year. 0% commission on each sale.

The content and limits of each plan (number of products, AI generations, contacts, emails) are those shown on the pricing section at the time of subscription.

Prices are in euros. TVA non applicable, art. 293 B du CGI.

The subscription is paid by card through Stripe, at sign-up and then at each renewal date. It renews automatically for the same period until it is cancelled.

Mento informs the creator by email of any price increase at least 30 days before it applies to their subscription. A creator who refuses it can cancel before that date.

Commission on sales

• On each sale made in their store (product, coaching booking, membership payment by a buyer), Mento receives a commission whose rate depends on the creator's plan.
• It is calculated on the amount paid by the buyer, after any discount, and collected by Stripe at the time of payment.
• If a sale is refunded, the commission is returned in the same proportion.
• Stripe processing fees come in addition to the commission. They are paid by the creator, at Stripe's rates.

Payments through Stripe Connect

• To sell, the creator connects a Stripe account in their own name to Mento. They then accept Stripe's terms, including the Stripe Connected Account Agreement.
• Buyer payments are collected directly on the creator's Stripe account. Mento never holds the funds from sales.
• Payment disputes (chargebacks) are debited from the creator's Stripe account, and the creator handles them.
• Stripe may request documents, hold funds or close an account under its own rules. Mento has no control over these decisions.

Sales between creators and their buyers

• The creator is the seller of the products in their store. The sales contract is between the creator and the buyer. Mento is not a party to it.
• The creator sets their prices and the content of their offers, and defines their own terms of sale. They comply with the rules that apply to them, in particular consumer law (buyer information, right of withdrawal, delivery), invoicing and VAT.
• Mento provides tools that help with some of these rules, such as collecting the buyer's waiver of the right of withdrawal for digital content supplied immediately. These tools do not replace the creator's obligations.
• A buyer's complaints about a product are addressed to the creator.

Content and artificial intelligence

The creator keeps their rights to their content. For the lifetime of their account and free of charge, they grant Mento the non-exclusive right to host, reproduce and display it to the extent needed to operate the Service.

The AI tools produce suggestions from the information the creator provides. These suggestions may be inaccurate, incomplete or similar to existing content. The creator reviews and corrects them before publishing. The information they submit to these tools is sent to the provider that runs the model (see the privacy policy).

The creator is solely responsible for what they publish and sell, whether the content is written by them or generated by AI. This covers the accuracy of their commercial claims, respect for the rights of others (copyright, trademarks, image rights) and compliance with the law.

Unlawful, infringing, misleading or hateful content, content that violates the rights of others, and products prohibited by Stripe's terms are not allowed. Mento may remove content that is clearly unlawful or reported as such, or suspend the store concerned, and informs the creator.

Availability of the service

Mento makes reasonable efforts to keep the Service available at all times. Interruptions may occur for maintenance, updates or incidents, including at its providers. Mento does not guarantee uninterrupted operation. The creator keeps a copy of the files they sell.

Liability

Mento has an obligation of means. It is not liable for:

• creators' content and products;
• disputes between a creator and their buyers;
• decisions made by Stripe or other third-party services;
• indirect damage, such as loss of revenue or customers.

These limits do not apply where the law prohibits limiting liability, in particular towards a creator acting as a consumer.

Term, cancellation and account deletion

• The Terms apply for as long as the account exists.
• The creator can cancel their subscription at any time from the billing settings of their account. Cancellation takes effect at the end of the period already paid, which is not refunded. The account then returns to the Essai plan.
• The creator can ask for their account to be deleted at any time by emailing support@mentogrow.com. Their store is then taken offline. Their data is handled as described in the privacy policy.
• In case of a serious breach of the Terms (unlawful content, fraud, non-payment), Mento may suspend or close the account after informing the creator, except in an emergency.

Right of withdrawal

A creator who subscribes to a paid plan as a consumer has fourteen days to withdraw, without giving a reason (article L221-18 of the French Consumer Code). If they ask to use the paid plan immediately and then withdraw, they pay for the part of the service already provided (article L221-25). To withdraw, they email support@mentogrow.com.

Complaints and governing law

• Any complaint should first be sent to support@mentogrow.com.
• The Terms are governed by French law. Disputes fall under the jurisdiction of the competent French courts.

Changes to the Terms

Mento may change the Terms. It informs the creator by email before the changes take effect. A creator who refuses the new version can cancel their subscription and ask for their account to be deleted.
